Industry Talk: Olive Group Merges With Constellis Group

This is the other big news I wanted to write about. I have written about Constellis Group in the past and they are definitely making some big moves. They merged with Triple Canopy, and while I was gone this happens. They merged with Olive Group!

And speaking of size, I wanted to get some information about exactly how big the family of companies are with Constellis Group? Here is what they said in a tweet.

Over 10,000 employees and contractors! That is a division in military terms. lol And if Olive Group’s numbers are correct, that means this merger doubled the size of this family of companies. Wow…

Some other side news with this merger is that Olive Group just purchased Newport Africa late last year. So Constellis is making a huge Africa play with this merger, and especially East Africa and in the oil and gas industry.

I was able to find a quote from the CEO of Olive Group as to their view of the merger and what it will mean for the company. Here it is.

The merger will provide us with a deeper funding base and allow the business to expand into new areas,” Mr St George told the Telegraph. “The world is not getting a safer place.”
Olive will continue to trade under its existing name and both the St George
brothers will take seats on the board of Constellis, which has traditionally specialised in Federal contracts in the US. Olive expects to hire more ex-forces staff according to Mr St George. The company will be looking to expand over the coming years and take on more ex-UK services personnel and operations staff to help it grow in key markets such as North Africa, Iraq and Saudi Arabia. Olive already employs around 5,000 people working in 20 different countries.

The other news for this deal is Moody’s assigned a B3 rating to the $450 million, five year second lien notes of Constellis Holdings, LLC. The rating outlook is ‘stable’. What is cool about this story is that Moody’s identifies what gives this rating it’s stable outlook. Here is a quote with my emphasis in bold black.

Moody’s calculates pro-forma debt/EBITDA and EBITDA/interest at the low 6x and low 2x levels, respectively (after Moody’s standard adjustments) as of the fiscal year ending December 2014, based on audited financial statements and taking into account the additional debt and Constellis’ acquisitions over the year. Estimating metrics is made difficult by the wide number of cost actions undertaken/planned, and the only partial year contribution of acquisitions during 2014.
These metrics compare somewhat favorably to many defense services contractors also rated at the B3 CFR. Nonetheless, operating cash flow in 2014 was modest despite the large tax refunds. Funding the Olive acquisition will increase financial leverage somewhat, and there is still limited visibility into Constellis’ cashflow. Further, Moody’s estimates that the pending dividend equates to more than a year’s worth of prospective free cash flow and the Constellis growth strategy will continue to emphasize acquisitions.
The high concentration on the US Department of State’s (DoS) Worldwide Protective Services (WPS) contract, which expires in October 2015, represents a rating constraint since the contract will make up a third of revenues pro forma for the Olive acquisition. At present, the $17 million of near-term debt amortization scheduled seem high versus reported funds from operation. Liquidity should improve given the lack of scheduled debt amortizations going forward and expectation of free cash flow.
The stable rating outlook benefits from expectations of steady profits from rising demand as a result of ongoing conflicts throughout geographic regions where Constellis and Olive operate (i.e. Middle East, North Africa). Increased security needs for the US Department of State’s diplomatic activity as well as for energy sector customers favors the demand setting. Potential for cost actions to raise cash flow generation also factor into the outlook.
Upward rating movement would depend on better intermediate term revenue visibility, which is unlikely to develop until after the WPS successor contract outcome is determined. (WPS task orders can endure beyond that contract expiration date.) Adequate liquidity, expectation of FFO/debt greater than 10% with annual FCF greater than $25 million would likely accompany an upgrade.
Downward rating pressure would result from backlog declines, weaker liquidity or low free cash flow.
The principal methodology used in these ratings was Global Aerospace and Defense Industry published in April 2014. Other methodologies used include Loss Given Default for Speculative-Grade Non-Financial Companies in the U.S., Canada and EMEA published in June 2009. Constellis is a global provider of training and security services focused on counter terrorism, force protection, law enforcement and security operations. From 2010 to October 2014 the company’s name was Academi Holdings, LLC. Before its 2010 ownership change, the company had been named Xe Services and Blackwater Worldwide. Pro forma for the pending acquisition of Olive, revenues in 2014 would have been approximately $1 billion. The company is majority-owned by Forte Capital and Manhattan Partners.

As you can see with the rating study, WPS is very important to Constellis Group. It also makes sense why they made their move with Triple Canopy–to secure more WPS business. The merger with Olive Group covers the oil and gas sector and entrance into Africa. I suspect we will see Constellis Group making more moves and getting bigger. The question is, who is next? –Matt

Industry Talk: Triple Canopy Awarded $159.9 Million For Afghanistan Security Services

Congrats to TC, but I have to say that I am not too interested in promoting their job for this. For the simple reason that the pay is too low and the leave schedule sucks. As it stands now, you have to work 344 days in order to get the bonus. That’s if the contract is still in place after a year. Who knows what will happen in Afghanistan a year out?

The other thing is burn out. Work is nice, but if you are working 12 hour days for 344 days out of the year, then that is a horrible schedule. For that reason, I think TC is going to have a tough time keeping this thing staffed. What I could see happening with this  is that guys use this contract as a ‘stepping stone’ contract in order to get into a better paying/better leave schedule job. Especially for those guys that have families.

In my opinion, I think this is a poorly constructed contract if these are the terms. The industry standard (in my opinion) for pay in a war zone like Afghanistan or Iraq should be more in the neighborhood $400 to $600 a day for static, to reflect the various management positions and seniority of contractors within the company. I should also note that such contracts like WPS is an excellent model for an ‘industry standard’ for pay. That is what this contract should have been modeled after, and DoS’s WPS program get’s it right in that department.

The industry standard for leave should be more around 2 to 3 months on, and about 1 month off. That is a great leave schedule, and the contract should allow some flexibility within that leave schedule to allow for emergencies and contractor personal choice. Requiring a contractor to work 344 days in a war zone is a recipe for disaster. Guys will burn out and their families will hate them for being away that long. I doubt that you will even see guys complete the contract to get the bonus, just because they will jump on the first gig that comes up with better pay and a better leave schedule. I know that is what I would do.

Even the hours worked is dumb. In my personal opinion, an 8 hour shift, working 6 days a week with one day ‘off’, is far better than a 12 hour shift 6 days a week. (especially if you are wearing kit all day long and working 344 days a year) I will also say that if this contract does lose guys because they burn out, that those left on the contract will be working a lot of hours without any days off. Just ask the AGNA guys what that is like when contractors bail ship because the company sucks or there are better gigs elsewhere. The guys that are left are the ones having to make up for a lack of manpower.

It is also a threat to the security readiness of a base, and could lead to a default on contract if there is a high attrition rate. Staffing a contract is serious business, and if folks are jumping ship because it sucks, then that has all sorts of consequence. Now imagine low staffing and low morale throughout a guard force because of being over worked, mixed with a high enemy threat or even enemy attacks?  We are not talking about security at some mall in Sandusky Ohio, we are talking about the protection of FOB’s filled with military and civilians in an active war zone, all depending upon that contracted guard force and it’s abilities.

In other words, this contract will have issues. That’s too bad, because I thought the Marines would have been smarter about this, and especially when they had more choice in the formation of this ‘best value’ contract. They should have asked this community what an appropriate contract would look like, and it just seems to me like they created another TWISS-like contract. Too bad…

The other thing I was curious about is if Triple Canopy gets paid for every guy they train?  Meaning when they train a contractor for this gig, they bill the government all the relevant costs. Why this matters is if the contract sucks and is set up to be a revolving door contract for guys, then TC will have to train up more contractors to keep it staffed. So what is TC’s incentive for training these guys and keeping them on the contract in Afghanistan? If anything, they benefit from a contract where contractors ‘don’t’ stick around so they can keep charging the government for training.

Which brings up another crucial point. When you set up a revolving door contract like this, then you lose something that is absolutely vital to organizations and security in war zones. Unit cohesion. Imagine being on a contract where no one sticks around? Where a new contractor shows up every week, or the management jumps ship every other week? Talk about instability. lol So basically you will have a contract where folks are constantly adjusting to new people, and all along you will have the security of a FOB to focus on. How can you trust the guy to the left and right of you, if A. you don’t know who they are and B.you don’t know if they will be there from week to week.

Unit cohesion is so hard to create in a company anyways, but if the contract itself does not lend itself towards making contractors happy and keeping them on the gig, then you can kiss any kind of unit cohesion good bye. And actually, that will be a cause of internal problems. I dare any military unit to try the same thing in a war zone, and see what the end result becomes. And this is what you want protecting these bases?

I sometimes wonder if the military should be setting up these contracts in the first place. How is it that the federal government understands how to set up these things (like WPS), but the military does not?  Could it be that the military purposely constructs poor contracts because contractors are the competition? What incentive do the Marines have in constructing a contract where a company that comes in to replace their Marine force, does a better job than that Marine force– because the contract lends itself to success?  Why would they want that company to be successful, and ‘show them up’?  Food for thought when it comes to the public versus private discussion about this industry, and when it comes to the principal-agent problem.

Finally, it is very simple to understand the game here. You find the industry standard within that war zone, and you stick to that standard. If you want to lose people and could care less about the quality of the contract/services, then by all means set up your contract below that industry standard. Go cheap, pay peanuts, and get your monkey’s.

On the other hand, if you want to attract the best of the best within an industry, then you need to offer incentives that are ‘better’ than the industry standard. And if you want a best value contract that has some degree of stability, then match what the industry standard is, choose a good reputable company, and manage it well. That is my thoughts on the matter. –Matt

Iraq: Several Hundred Contractors Have Been Detained And Harassed In Iraq Since US Troop Withdrawal

“While private organizations are often able to resolve low-level disputes and irregularities, this issue is beyond our ability to resolve,” the International Stability Operations Association, a Washington-based group that represents more than 50 companies and aid organizations that work in conflict, post-conflict and disaster relief zones, said in a letter on Sunday to Secretary of State Hillary Rodham Clinton.
Doug Brooks, president of the organization, said in a telephone interview that the number of civilian contractors who have been detained was in the “low hundreds.” 

Not good. I have received several emails from contractors working for different companies in Iraq that have said this is happening. Ever since that story came out about the Triple Canopy guys getting detained, similar deals have been happening to not only security contractors but all types of contractors and foreigners.

The thing here that I have to emphasize with Iraq is that they are going to do whatever they want. Of course the State Department is working on trying smooth this stuff out, but I just don’t see things moving fast with this one. So if Iraq wants to implement a campaign of ‘controlled harassment’, or they cannot control their various agencies and departments, then all contractors can do is either leave the country, or somehow work with the situation as best you can.

My message to Iraq is the same message I had for Afghanistan. Private investors and business is vital to the reconstruction and growth of your nation. What you are doing to these foreign investors and businesses, by poorly treating their security or workers, is in essence shooting yourself in the foot. Many of these companies are already taking a huge risk in a country that is still being attacked by enemies and ravaged by war. Iraq should be focused on creating peace and stability in their country, and not focused on insulting or detaining those that will eventually bring prosperity to their country.

The other thing that Iraq should know is that many of these contractors that they are harassing or looking down upon, are their own people. Just look at how many Iraqi contractors have been killed over the years, either as security contractors or as interpreters? Department of Labor puts those deaths at 1,560 and their sacrifice is just as significant as any Iraqi soldier or policeman’s sacrifice. (that number is just the DoL statistic, and I am sure it is way more than that if you count all the local Iraqi security companies over the years)

Either way, we will see how this develops and I encourage other contractors to keep contacting me about this or put a heads up in the comments section of posts like this one. Also, get your congressional representative involved, or whomever elected officials that represents you in whatever country you are from, and use that political leverage to help out your situation. That is what worked for the Triple Canopy guys at least, and definitely play it smart out there. –Matt

 

Flexing Muscle, Baghdad Detains U.S. Contractors

Iraqi authorities have detained a few hundred foreign contractors in recent weeks, industry officials say, including many Americans who work for the United States Embassy, in one of the first major signs of the Iraqi government’s asserting its sovereignty after the American troop withdrawal last month.
The detentions have occurred largely at the airport in Baghdad and at checkpoints around the capital after the Iraqi authorities raised questions about the contractors’ documents, including visas, weapons permits and authorizations to drive certain routes. Although no formal charges have been filed, the detentions have lasted from a few hours to nearly three weeks.
The crackdown comes amid other moves by the Iraqi government to take over functions that had been performed by the United States military and to claim areas of the country it had controlled. In the final weeks of the military withdrawal, the son of Iraq’s prime minister began evicting Western companies and contractors from the heavily fortified Green Zone, which had been the heart of the United States military operation for much of the war.
Just after the last American troops left in December, the Iraqis stopped issuing and renewing many weapons licenses and other authorizations. The restrictions created a sequence of events in which contractors were being detained for having expired documents that the government would not renew.
The Iraqi authorities have also imposed new limitations on visas. In some recent cases, contractors have been told they have 10 days to leave Iraq or face arrest in what some industry officials call a form of controlled harassment.

Industry Talk: Contractors Imprisoned In Iraq Planned An Escape, Suffered Under Care Of Guards

He said the detainment brought back the horrors of the late Saddam Hussein’s brutal and sadistic regime to Iraqi nationals who were part of his extraction team.
“The Iraqi members of my team were absolutely terrified, they had been through this during Saddam’s terror reign and with the death of the dictator they thought it was all over. The detainment and psychological torture brought back vivid memories for them,” Mr Fisher shared.

Well, here is part 2 of this whole thing and we are now starting to get a better picture of what happened to these guys. I am also disgusted with what Iraq did to these men. I see the words in these testimonies below like ‘psychological torture, filth, squalor, moments of terror, fearful, deplorable, lives threatened, food placed on the ground with flies, and they are supposed to be our ally.’  If Iraq’s intent was to bring back the days of what it was like under Saddam, then they did a great job.

As to the details, I guess they were working for Triple Canopy and it wasn’t just 3 contractors, but 7 contractors. The other 4 were local Iraqi security specialists. They were also on a mission to retrieve equipment for the US government during this draw down.

There was also another thing mentioned that perked me up.

Rep. Pete King (R-L.I.) said he learned from Melissa Antiohos that her husband was in an Iraqi jail.
“He received virtually no assistance at all from his own government,” said King. “Nobody from the American embassy out in Baghdad went to see him at all.”
The U.S. State Department declined to discuss the charges made by King.
Antiohos said what happened to him was “unfortunate, given our contribution to their nation.”
“They are supposed to be our ally,” he said.

It is hard for me to imagine that the US Embassy was not immediately working on the release of these folks? But if true, that is not cool at all. This contractor team had Americans in it, they were doing a job for the US government through a contract, and a matter like this should have been handled and fixed on day one. I mean we have plenty of diplomats and State folks in Iraq, complete with a massive security force and logistics.

Now in the second article below, that is when the whole ‘planning to escape’ thing came up. I imagine SERE training was kicking in with Alex (former Special Forces) and the others, and based on how long they were detained and their treatment, I am sure some escape planning was in order. Here is the quote below.

According to the 41-year-old (Mark Fisher), the Iraqi military played psychological games with them promising imminent release while pointing loaded automatic machine guns at them. “Their favourite words were ‘believe me’ and ‘you’re going home tomorrow’ but it didn’t happen for 18 days.
“After hearing these words for the first few days, we knew that our captors were playing games with us and that’s when we began plotting our escape,” he said.

Unbelievable. Well guys, pass this one around and get the word out. If Triple Canopy makes a statement, I will post that as well. –Matt

For the Long Island contractor who was trapped in an Iraqi jail for three weeks, it was filth, squalor and uncertainty interrupted by “moments of terror.”
“I was definitely fearful at times,” a weary-looking Alex Antiohos said Friday. “But I was making a concerted effort to suppress my emotions and my feelings in order to ensure that everyone remained calm.”
Antiohos, 32, spoke out three days after he and two other Americans were released by their Iraqi captors.
“I’m thrilled, thrilled to be home,” said the 32-year-old former Green Beret. “I’m looking forward to spending time with my family and ringing in the new year.”
Antiohos, who lives in North Babylon, was working for a private security firm in Iraq. His ordeal began on Dec. 9, when he and two colleagues were detained by members of the Iraqi Defense Ministry while escorting a convoy.
They said the papers of Antiohos and the other Americans — Jonas March of Savannah, Ga., and Kevin Fisher of Fiji — were not in order.
For 24 hours, Antiohos said they were held at a checkpoint with 15 Iraqi nationals. He said he called his wife, Melissa, and fully expected to be released.
Then, suddenly, they were arrested.
“Very surprised,” a guarded Antiohos said when asked for his reaction. “One would expect that the Iraqis would be a little more friendly.”
The worst was yet to come.
The trio were taken to a “filthy” facility in Mahmudiyah, which is part of the infamous “Triangle of Death.”
“It was deplorable,” Antiohos said. “There was limited electricity, no heat. It’s difficult to describe. In general, your average American would consider it appalling.”
And the food was even worse.
“Food placed on the ground with flies,” he said. “No running water.”
The Iraqi guards mostly left the prisoners alone. But when a high-ranking officer appeared, they got “aggressive,” he said.
“There were lives threatened,” he said. “That kind of thing. We were treated fairly most of the time with moments of terror.”
As the days wore on, Antiohos said they wondered when the U.S. government would spring them. It was, he said, “very frustrating.”
Rep. Pete King (R-L.I.) said he learned from Melissa Antiohos that her husband was in an Iraqi jail.
“He received virtually no assistance at all from his own government,” said King. “Nobody from the American embassy out in Baghdad went to see him at all.”
The U.S. State Department declined to discuss the charges made by King.
Antiohos said what happened to him was “unfortunate, given our contribution to their nation.”
“They are supposed to be our ally,” he said.

DURING his 18-day detainment and psychological torture at the hands of the Iraqi military, a Fiji man began planning his group’s escape.
Mark Fisher, a former Republic of Fiji Military Forces sergeant and an employee of United States security contractor Triple Canopy Incorporated and his fellow workers were held captive for 18 days while retrieving equipment left behind by the US Army pull out.
